Mookti Beta Tester Agreement

This Beta Tester Agreement ("Agreement") is a legally binding contract between you ("Tester," "you," or "your") and Mookti, Inc. ("Mookti," "we," or "our").

By clicking "I Agree" or by accessing or using the pre-release version of the Mookti platform and its associated services (the "Beta Service"), you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

You also acknowledge that you have read and agree to Mookti's main Terms of Service and Privacy Policy, which are incorporated by reference into this Agreement. In the event of a direct conflict between this Agreement and the Terms of Service, the terms of this Agreement will prevail regarding your participation in the Beta Program.

1. The Beta Program

Mookti is developing an educational technology platform. We are offering a limited number of individuals the opportunity to participate in our Beta Program (the "Program") to test and provide feedback on the Beta Service. Your participation is voluntary.

2. License to Use the Beta Service

Subject to your compliance with this Agreement, Mookti grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Beta Service solely for internal, non-commercial evaluation and testing purposes.

3. Term and Termination

This Agreement begins upon your acceptance and continues until the Program is concluded by Mookti, or until terminated by either party. Mookti may terminate this Agreement and your access to the Beta Service at any time, for any reason, with or without notice. You may terminate this Agreement by ceasing all use of the Beta Service and notifying Mookti at support@mookti.ai. Upon termination, you agree to immediately delete all copies of any Mookti software or materials from your devices.

4. Confidentiality

You acknowledge that as part of the Program, you will have access to non-public information. You agree to treat all aspects of the Beta Service as strictly confidential.

• "Confidential Information" includes, but is not limited to, the Beta Service itself, its features, functionality, performance, user interface, design, documentation, bug reports you submit, feedback you provide, and any other information related to Mookti's business or technology that is not publicly known.
• Your Obligations: You agree not to disclose, publish, or share any Confidential Information with any third party. You will not take screenshots, record videos, or publicly discuss the Beta Service without Mookti's express prior written consent. You will use the same degree of care to protect our Confidential Information as you use for your own confidential information, but in no event less than a reasonable degree of care.

5. Feedback

Mookti's purpose in providing the Beta Service is to solicit your feedback, suggestions, and ideas for improvement ("Feedback"). You agree that Mookti shall own all rights, title, and interest in and to any Feedback you provide. You hereby irrevocably assign to Mookti all of your right, title, and interest in such Feedback. Mookti may use, implement, and otherwise exploit the Feedback for any purpose, without any obligation of confidentiality, attribution, or compensation to you.

6. No Compensation

You acknowledge and agree that your participation in the Program is voluntary and unpaid. You will not receive any monetary compensation. Your consideration for participating is the opportunity to get early access to the Beta Service.

7. Disclaimer of Warranties

THE BETA SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. You understand that the Beta Service is a pre-release product that may contain bugs, errors, and defects. Mookti expressly disclaims all warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Beta Service will be uninterrupted, secure, or error-free, or that your data will be secure or not otherwise lost or damaged.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOKTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE BETA SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. MOOKTI'S TOTAL LIABILITY SHALL NOT EXCEED FIFTY US DOLLARS ($50.00).

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware. Any disputes arising from this Agreement shall be resolved according to the "Dispute Resolution" section (Section 14) of the Mookti Terms of Service, including the Mandatory Arbitration Agreement and Class Action Waiver.

10. Entire Agreement

This Agreement, together with the Mookti Terms of Service and Privacy Policy, constitutes the entire agreement between you and Mookti concerning the Beta Program and supersedes all prior communications and proposals.
